Contract Subject and Scope

These General Terms and Conditions (GTC) govern the use of the aibox platform and all related services provided by AI now AG. By registering and using the aibox platform, the licensee accepts these GTC and the provisions contained therein.

The licensor, AI now AG, Ruessenstrasse 12, CH-6340 Baar ("Licensor"), grants the licensee a non-exclusive, non-transferable, and revocable license to use the aibox platform ("Software"). Usage is strictly limited to the chosen subscription plan and for internal business purposes only.

Scope of License and Restrictions

Permitted Use

The licensee may use the software exclusively for business purposes, including the creation and automation of business processes as well as the use of pre-configured and custom prompts, according to the subscription level. A usage quota is defined based on the respective subscription.

Prohibited Use

The licensee must not:

• Decompile, disassemble, or reverse-engineer the software.
• Share access to the software without written permission.
• Use the software outside business operations or for illegal activities.

License Restriction

Each company requires its own license. A reseller agreement is required if the licensee intends to make the platform available to other companies.

All users within a tenant have access to the same use cases and configurations. If different user groups within a company require separate use cases or need organizational separation (e.g., due to multiple legal entities), a separate tenant and an additional subscription are required.

AI now AG is entitled to engage third parties for the provision of its services and customer support.

Registration

The user must create a personal account and provide truthful and up-to-date information. Team accounts or shared login credentials are not permitted.

Support and Maintenance

The licensor provides support and maintenance services according to the chosen subscription. The exact conditions and response times are outlined in the current price list or support policy.

For the execution of certain customer-requested support services, an AI now AG employee may require access to the platform.

Subscription Fees

Monthly fees are billed in advance. Additional costs for support or add-ons are charged together with the subscription fees. Payment deadlines are based on the current price list.

Term and Termination

Trial Period

A free trial period of 14 days is offered. After the trial period, the subscription is activated upon consultation with the customer or access to the functions is disabled.

Minimum Term and Termination

The subscription has a minimum term of one month and can be canceled with 30 days' notice before the end of the month.

Termination by the Licensor

The licensor may terminate this agreement immediately if the licensee violates the terms of the agreement or fails to make timely payments.

AI now AG reserves the right to terminate the contract extraordinarily if the aibox services are permanently discontinued. In such a case, the licensee will be informed in due time and will receive a pro-rata refund for prepaid but unused services if applicable.

Data Processing and Privacy

The licensor commits to processing the licensee’s personal data in accordance with applicable data protection laws. The following data categories are processed:

Personal data of the licensee: Name, email address, billing information, and technical usage data of the platform.

Data entered by the licensee: Content that the licensee provides in prompts. The licensee is responsible for this content and guarantees that no third-party rights are violated.

Processing options: The licensee can choose whether data processing occurs via OpenAI (USA) or Microsoft Azure (EU/Switzerland). For processing in the USA, appropriate measures, such as standard contractual clauses, are taken to ensure data protection.

Storage periods: Personal data is stored only as long as necessary for contract fulfillment or as required by legal retention periods. Data from prompts is processed only temporarily and not stored permanently.

Licensee rights: The licensee has the right to access, rectify, delete, and restrict processing, as well as the right to data portability.

Data security: The licensor implements technical and organizational measures to ensure data security.

Intellectual Property

All rights to the software remain with the licensor. The licensee receives only the usage rights as outlined in this agreement.

Liability Limitation

The licensor is liable only for direct damages demonstrably caused by intentional or grossly negligent behavior. No liability is assumed for indirect damages, consequential damages, or lost profits. The licensor's total liability is limited to the amount of fees paid in the last 12 months. Mandatory legal liability claims, particularly in cases of personal injury, remain unaffected.

Price Adjustments Due to Changes in Third-Party Providers

The licensor reserves the right to adjust prices for the use of the aibox platform if third-party providers whose technologies or services are integrated into the aibox services change their prices.

The licensee will be notified of such changes in writing at least 30 days before they take effect. If the licensee does not agree to the new prices, they have the right to terminate the contract extraordinarily as of the effective date of the new prices.

User Obligations

Internet Connection

A stable internet connection is required to use the aibox services. The user is responsible for maintaining and ensuring the availability of their internet connection.

Access Credentials and Security

If the user suspects that their access credentials have been compromised, they must immediately change their passwords and inform AI now AG.

Changes

The licensor reserves the right to modify this agreement by providing written notice. Continued use of the software by the licensee constitutes acceptance of such changes.

Final Provisions

This agreement is governed by Swiss law. Changes to the GTC will be communicated in writing. Continued use of the software constitutes acceptance of such changes.
